Attorney, Corporate and Licensing (at least 4 years transactional experience). Qualified individuals interested in full-time, part-time, flexible time, and remote arrangements are encouraged to apply. Strong contract drafting skills are essential. Business experience or an MBA (or both) is strongly desired. Science background or technology industry experience (or both) is helpful. Qualified individuals who are entrepreneurial, creative, thorough, enthusiastic, motivated, diligent, and team-players will be well-received. At least a modest client base of emerging companies or demonstrated ability to obtain and retain the trust and confidence of clients is required. Responsibilities will likely include the following:

• Prepare transactional documents for joint development arrangements, venture capital investments, angel investments, asset purchases, and stock purchases
• Counsel startup companies on a variety of early stage issues from choice of entity to investor presentations
• Prepare offering documents and private placement memorandums
• Prepare background memos on issues faced by emerging companies
• Oversee and conduct transactional due diligence and legal audits
• Develop content for HotDocs^® automated forms
• Conduct research on corporate and basic tax issues
• Prepare SaaS agreements and software license, maintenance, hosting, escrow, service, and outsourcing agreements
• Be active in the community
