On-Call Corporate Counsel

Knowing and understanding a client is important for good client service. Often, an impediment to understanding an entpreneur's or emerging company's needs is infrequent communications. Many entrepreneurs decide to "handle it internally" or are hesitant to pick up the phone to discuss a matter with an attorney because of a feeling that the "clock is running." In addition, bringing in an attorney late in the transactional process or after a problem has festered often yields missteps, lost opportunities, and limited fixes.

An obvious way to facilitate better and more frequent attorney-client communications is by limiting barriers to them. That is precisely what the on-call corporate counsel service is designed to do. For a low, flat monthly retainer rate (much lower than the corresponding hourly rates), we are on call to counsel for an agreed upon range of time for meetings and calls to cover the following types of issues:

  • Feedback on client ideas and strategies
  • Introductions and referrals
  • High level business, corporate, capitalization, and legal strategy discussions
  • Identifying and forwarding reference materials and summaries
  • Quick legal projects
  • Regular board meetings
  • Short contract reviews

While the on-call corporate counsel is sort of like having counsel on call at the end of the hall, the on-call corporate counsel service is not designed to be a complete outsource of a corporate counsel. It is also not meant for every individual within a client’s organization, but rather only its senior executives and in-house counsel. In addition, the on-call corporate counsel service does not traditionally include the following:

  • Preparing, drafting, and revising agreements, corporate documents, and memos
  • Negotiations
  • Single projects or individual topics of discussion that last more than a couple of hours in a month
  • Filings, fees, costs, etc.

The items listed above can be subject to separate alternative fee arrangements.

Either the client or AlphaTech Counsel may terminate the on-call corporate counsel service at any time. Adjustments can also be made to services or products to be included or excluded from the offering. Similarly, if the on-call corporate counsel service is being overutilized or underutilized, the parties can also revisit the pricing of the offering.
