Paralegal, Corporate
(at least 3 years experience and undergraduate degree). Qualified individuals interested in full-time, part-time and flexible time arrangements are encouraged to apply. Responsibilities will likely include the following:
- Prepare all documents required to form corporations and limited liability companies, including preparing stock certificates and applying for EINs
- Assist lawyers in the preparation of documentation for amendments, withdrawals, mergers, conversions, and dissolutions of corporations and limited liability companies
- Create and maintain corporate minute books and stock ledgers
- Use HotDocs® and other automation software to prepare NonDisclosure Agreements, Employment Agreements, Stock Option Agreements, Material Transfer Agreements and other corporate agreements and documents
- Work directly with attorneys and clients during corporate transactions. Prepare closing checklists, provide lawyers with assistance in the preparation for and closing of various corporate transactions, including joint ventures, mergers and acquisitions
- Assist with proofreading offering documents and preparing Reg D filings
- Prepare UCC filings and conduct UCC searches. Work with CT Corporation and CSC
- Provide general adminstrative support
- Conduct basic legal and technical research
- Be active in the community
- Other miscellaneous duties as assigned
