Macy Shubak is a senior paralegal for AlphaTech Counsel, S.C. Macy has over fifteen years’ paralegal experience in corporate governance, private and public offerings, mergers and acquisitions, equity administration, real estate, trademarks, contract drafting, and contract management and administration. For the four years prior to joining AlphaTech, she served on the legal team of a medical device company through its initial public offering. Prior to that position, she worked for nine years in the downtown Madison office of a large Wisconsin law firm. Her paralegal career started at a Chicago suburban firm in 1994.
Representative Experience and Current Focus with Entrepreneurs and Emerging Companies
- Corporate Governance: Prepare incorporation documents, minutes and consent resolutions; plan board and shareholder meetings; coordinate with foreign counsel on corporate formalities for international entities; maintain hard copy and electronic minute books; and assist with drafting and implementing corporate policies
- Private and Public Offerings, Mergers and Acquisitions: Conduct due diligence, including use of virtual data rooms; prepare offering document drafts; prepare ancillary closing documents; and organize and coordinate closings
- Equity Administration: Process stock issuances and transfers; and prepare equity ledgers, spreadsheets, databases, and capitalization tables and charts
- Contract Drafting: Draft and review standard contracts, amendments, assignments, notices and terminations
- Contract Management and Administration: Select, develop, implement, and manage contract management tools; train others to manage and administer
