Matt Storms is the president of AlphaTech Counsel, S.C.  He is experienced in general corporate and limited liability company matters and in negotiating and structuring mergers, acquisitions, venture capital, joint development, licensing, and joint venture transactions.  Matt was a partner in the corporate group of a large Midwestern law firm, where he worked for 13 years.

Experience and Representative Engagements with Entrepreneurs and Emerging Companies


  • Lead outside counsel to several high-growth companies. The companies are in industries such as medical device, pharmaceutical, Internet services, and software applications. In addition to performing traditional legal services for such companies (from preparing employment agreements to private offering memorandums), his activities have varied significantly, ranging from advising on capitalization strategies, management and advisory team selection, and revenue strategies, to making introductions to investors and assisting with investor presentations.
  • Lead attorney negotiating and structuring $40,000,000+ joint venture arrangement involving seven insurance, service, and banking organizations
  • An acquisition involving two large physician organizations in which the surviving organization created the eighth largest physician group in the country
  • Lead outside counsel for a $1.5 Billion catalog and Internet retailer with respect to such matters as joint ventures, private placements of equity, and licensing of software and Internet-based technology
  • Lead attorney on 70+ asset purchase, stock purchase, and merger transactions. The transactions have varied from straight cash transactions to triangular mergers to management buyouts
  • Lead attorney representing investors in $45,000,000+ private placement of common stock issued by a publicly held corporation
