Matt Storms is the president of AlphaTech Counsel, S.C. He is experienced in general corporate and business law matters, including negotiating and structuring mergers, acquisitions, venture capital, joint development, licensing, and joint venture transactions. Matt was a partner in the corporate group of a large Midwest law firm, where he worked for 13 years.
Experience and Representative Engagements with Entrepreneurs and Emerging Companies
- Lead outside counsel to several emerging companies. The companies are in industries such as medical device, pharmaceutical, computer games, software, Internet services, and mobile applications. In addition to performing traditional legal services for such companies (from preparing employment agreements to negotiating SaaS contracts), he also spends considerable time assisting emerging companies with other matters, ranging from advising on capitalization strategies, management and advisory team selection, and revenue strategies, to making introductions to investors and assisting with investor presentations.
- Lead attorney negotiating and structuring $40,000,000+ joint venture arrangement involving seven organizations
- Lead outside counsel for biologics company in structuring and negotiating phase II multi-site clinical trial agreements
- Outside counsel for an international public medical device company with respect to such matters as joint ventures, private placements of equity, and licensing matters
- Lead attorney on 75+ asset purchase, stock purchase, and merger transactions. The transactions have varied from straight cash transactions to triangular mergers to management buyouts
- Lead attorney representing investors in $45,000,000+ private placement of common stock issued by a publicly held corporation
